Please read these terms carefully before using Roducate.

RODUCATE TERMS AND CONDITIONS FOR LEARNERS AND GUARDIANS
OVERVIEW
This is an agreement between Roducate Limited, a limited liability company incorporated under the laws of the Federal Republic of Nigeria (“Roducate”, “We”, “Our” and “Us”), the owner and operator of www.roducate.com (the “Roducate App”, “Roducate Site”, “Roducate Software & “Roducate Platform””) (collectively, including all content provided by Roducate through the Roducate Site, Roducate Software, and Roducate App, (the "Roducate Service", or the "Service"), and You, a user of the Service (“You”, “Your” or “User”).
ACCEPTANCE AND ELIGIBILITY
Roducate offers You the Roducate Service conditioned upon Your acceptance of these terms and conditions (the “Terms and Conditions”). By using the Service, You acknowledge and agree to these Terms and Conditions and Roducate's Privacy Policy, which can be found at https://www.roducate.com incorporated herein by reference. You represent and warrant that You are authorised to accept and be bound by these Terms and Conditions.
For the avoidance of doubt, the Roducate Service or the Service also includes any updates to or additional features, services, or tools included on the Roducate Site, Roducate App, or content published by Roducate on the Roducate Site and Roducate App.
The Service is available for ages five (5) and older, but access can only be initiated by persons aged 18 and above. If You are below 18, You must obtain permission from your guardian or parent before accessing the Roducate Platform. By signing up on the Roducate Platform, You warrant that You have obtained such consent. If We discover that You have created an account that violates these Terms and Conditions, We will terminate Your account.
If You accept these Terms and Conditions on behalf of another individual or an organisation, You represent and warrant that You have the authority to bind that individual or organisation to these Terms and Conditions. By accepting these Terms and Conditions, the individual or organisation on whose behalf You are acting is deemed to have accepted and agreed to comply with these Terms and Conditions.
By creating an account on the Roducate Platform, You are deemed to have accepted our Terms and Conditions.
USERS AND THEIR ROLES
These Terms and Conditions apply to:
Users registered on the Roducate Platform for learning and engaging with Tutors, Counsellors, Learning Institutions and other learners (“Learners”); and
Users registered on the Roducate Platform who oversee and monitor a Learner's educational activities and progress in their capacity as the parents or guardians of the Learner (“Guardians”).
TYPES OF GUARDIANS
Guardian to the Learners: They oversee and monitor the educational activities and progress of a Learner or their child/Children and
Guardians to the Marketplace [Vendor]: They are guardians of their storefront in the Marketplace on Roducate who have access to list their product under the categories that Roducate offers at the Marketplace and access to buyers.
RODUCATE SERVICE
These Terms and Conditions apply to all Users of the Roducate Service. Information You provide through the Roducate Service may contain links to third-party websites not owned or controlled by Roducate. Roducate has no control over and assumes no responsibility for third-party websites' content, privacy policies, or practices. In addition, Roducate will not and cannot censor or edit the content of any third-party site. By using the Service, You expressly acknowledge and agree that Roducate shall not be responsible for any damages, claims or other liability arising from or related to Your use of any third-party website.
Notwithstanding the foregoing, any personal information You provide will be held in strict accordance with our Privacy Policy. By using the Roducate Site, You consent to such processing and warrant that all data You provide are accurate.
ACCOUNTS
Learners and Guardians must register an account to access the Roducate App. It is Your responsibility to ensure the security of Your account credentials. You have complete responsibility for Your account and everything that happens on It, including any harm or damage (to us or anyone else) caused by someone using Your account without Your permission.
You are not permitted to register an account if such registration will create a direct conflict of interest between You and Roducate. If there is a potential conflict of interest, You must obtain written authorisation from Roducate before creating the account.
While Roducate implements security measures to protect User accounts, Users are responsible for maintaining the confidentiality of their login credentials and all activities under their account. Users must notify Roducate immediately of unauthorised account use or any other security breach.
Users may cancel their service by deactivating their account on the Roducate Platform or by notifying Us of their intention to deactivate it. Deactivation will take effect after fourteen (14) days, during which Users may choose to restore their account. Users may also request deactivation directly from Us, and We will process the request accordingly.
User accounts are non-transferable, and all rights to the User account are terminated upon the User’s death or deactivation of the account.
Users agree to provide accurate and complete information during the account registration. Registration is subject to acceptance by Roducate, and We reserve the right to refuse or cancel Your registration at Our discretion.
USERS TYPE
The various User types on the Roducate Platform are as follows:
Learners;
Tutors;
Guardians;
Counsellors and Professionals.
RODUCATE ACCESS
Subject to Your compliance with these Terms and Conditions, Roducate hereby permits You to use the Platform, provided that:
Your use is solely for Your personal use;
You are granted a non-exclusive, non-transferable, personal, limited license to use the Roducate App. Your limited right is revocable at the breach of any of our policies or if You decide not to proceed with using the Platform.;
You shall not use the Roducate App in any unlawful manner, for any illegal purpose or in any manner inconsistent with these Terms and Conditions, or act fraudulently or maliciously;
You shall not infringe Our intellectual property rights or those of any third party about Your use of the Roducate App, including the submission of any material (to the extent that these Terms and Conditions do not license such);
You shall not use the Roducate App or the Platform in a way that could damage, disable, overburden, impair or compromise Our systems or security or interfere with other Users;
You are not permitted to resell or charge others for use of or access to the Platform or in any other manner inconsistent with these Terms and Conditions;
You will not duplicate, transfer, give access to, copy, or distribute any part of the Service in any medium without Roducate’s prior written authorisation;
You will not attempt to reverse engineer any part of the Service;
You will not alter or modify any part of the Service on the Roducate Platform;
You will not introduce into the Roducate App malicious software, including viruses, trojans, worms, logic bombs, or other technologically harmful material;
You will not (by Yourself or in concert with others) attempt to gain unauthorised access to the Platform, the server on which the Roducate Site or App is stored, or any server, computer, or database connected to the Roducate Site or App;
You are expected to be respectful and civil in Your interactions with other Users of the Roducate Platform;
You are prohibited from perpetrating acts that would constitute any form of harassment, bullying, or inappropriate behaviour;
You are prohibited from sharing any non-educational content with Your peers, tutors, and counsellors, especially violent or sexual content, while using the Roducate Platform;
Guardians are prohibited from sharing content that does not align with the use of the Roducate Platform;
You will not (by Yourself or in concert with others) attack the Roducate Service via a denial-of-service attack or a distributed denial-of-service attack, and
You will otherwise comply with the Terms and Conditions and our Privacy Policy.
We may, at any time and without notice, suspend or terminate Your access to the Roducate Platform and Service if You engage in activities that violate clause 6.1 above of these Terms and Conditions.
Use of the Roducate Platform requires compatible devices, internet access, certain software, operating systems (fees may apply) and periodic updates, which may be affected by the performance of these factors. High-speed Internet access is recommended for regular use and required for video and other content on the Roducate Platform. You are responsible for ensuring You have a reliable and fast internet connection to fully utilise all features and functionalities provided on the Roducate Platform. The speed and stability of Your internet connection may significantly impact the performance and the quality of Your experience. Roducate shall not be held liable for any issues arising from insufficient or unstable internet connectivity. You are responsible for all arrangements necessary to access the Roducate Platform and for ensuring that all persons accessing the Roducate Platform through Your internet connection are aware of and comply with the Terms and Conditions.
Your use of the Service constitutes Your agreement and intent to be bound by electronic submissions and to pay for such agreements and transactions, including notices of cancellation, policies, contracts, and applications.
You must treat Your user identification credentials, password, or any other security information as confidential and not disclose it to any third party. We have the right to turn off any User identification credentials or password at any time if, in our opinion, You fail to comply with any of the provisions of these Terms and Conditions.
Learner’s Access to the Roducate Suite
In addition to the foregoing, Learners may access the platform of their school, college or university that uses the Roducate App for delivering educational services on Roducate (the “Roducate Suite”) provided that the Professionals and Learning Institutions verify the Learners and they grant the Learners access to their platform via the Learning Institution dashboard. A Learner can receive information from Roducate and its Learning Institution if the Learning Institution grants access.
Learners may add their Professional on Roducate to access only the Professional’s platform. Upon addition of the Professional, the Learner will receive information solely from Roducate.
Where the Professional adds students directly on their dashboard, the Learner will receive a notification to join. Upon acceptance of this invitation, the Learner will have access to the Learning Institution’s dashboard and will receive information solely from the Learning Institution.
LIFETIME ACCESS
Upon successful registration, learners and guardians are granted access to the resources and related content for the duration specified during their subscription. For services that offer lifetime access, Learners and Guardians will have access to the content for as long as the Service remains available on the Roducate Platform. Lifetime access is defined as the duration of the content's availability on the Roducate Platform. It does not imply perpetual access if the platform or specific content is discontinued.
Roducate reserves the right to update, modify, or remove course materials and content to ensure relevance and accuracy. Learners with lifetime access may receive updates and new materials as part of their access, but Roducate does not guarantee the frequency or extent of such updates.
Learners and Guardians are granted a limited, non-exclusive, non-transferable license to access and use the Roducate content only for personal and educational purposes. Learners and guardians are prohibited from sharing, distributing or reselling the content in any form.
Roducate reserves the right to terminate or suspend a Learner's and Guardians' access to content if they violate these Terms and Conditions or engage in conduct deemed harmful to the platform or other users. In the event of termination for cause, Learners will not be entitled to any refunds or compensation for the remaining duration of access.
Roducate does not warrant that the content will always be available or that access will be uninterrupted or error-free. Roducate reserves the right to discontinue any service at its discretion upon violating these Terms and Conditions. In such cases, Learners and Guardians with lifetime access will be notified, and alternative arrangements may be offered where feasible.
FEES, PAYMENTS AND REFUNDS
A service contract is concluded when You register an account and select the features and functionalities You desire on the Roducate Platform. By completing the registration and selection process, You agree to adhere to these Terms and Conditions and pay any applicable fees associated with the chosen Services. Invoices for Services and purchases on the Roducate Platform will be generated automatically. You can access and review Your invoices through Your account dashboard.
8.2. You authorise Roducate to charge Your debit card, credit card or any internet account (“Payment Account”) for any products/services purchased and for any additional amounts (including any taxes and late fees, as applicable) that may be accrued by or in connection with Your use of the Roducate Platform. You are responsible for the timely payment of all fees and for providing Roducate with valid Payment Account details. Roducate reserves the right to review its fees occasionally after serving notice of its intention to increase through the Roducate App.
8.3. You agree to pay a monthly or yearly fee for using the Platform, as communicated by Roducate from time to time, The fees are inclusive of applicable taxes.
8.4. Guardians who transact on the Roducate Market Place are required to pay a commission fee to be displayed on the Roducate Platform on every transaction and sale successfully executed on the Roducate Platform, which will be deducted from the payment amount with the balance sent to the recipient’s account. Roducate reserves the right to review the commission at any time, a notice of which will be communicated through the Roducate App.
8.5. You may request customised cards using the Roducate Platform, which will be provided at a cost.
8.6. All fees will be billed to the Payment Account You designate during registration. If You want to designate a different Payment Account or if there is a change in Your Payment Account status, You must change Your information online in the account information section of the Roducate Site. Do note that this may temporarily disrupt Your access to the Service while Roducate verifies Your new Payment Account information.
8.7. A third-party payment gateway processes all payments made on the Roducate Site and its marketplace/community, and You agree to comply with all their terms and conditions. The third-party payment gateway is solely responsible for handling the payments, including the security and accuracy of the transactions. Roducate shall not be held liable for any incorrect payments or details that Roducate did not receive due to errors or issues within the payment gateway system or when You incorrectly include Your payment details.
8.8. You agree to indemnify and hold Roducate harmless from any claims, losses, or damages arising from incorrect payments or transaction details not reaching Roducate due to faults or issues with the third-party payment gateway.
8.9. Payments made by the Learners or Guardians on the Roducate Platform for events, extracurricular activities, and other school-related activities will be received directly into the accounts of the Tutor, Counsellor, Learning Institution, Professional or Sponsor on the payment portal.
The Roducate E-Wallet can only be accessed by Tutors, Counsellors, Learning Institutions, Professionals and Sponsors hosting the event or activity.
You agree to provide accurate and complete information about events and activities and ensure all payments are used for the stated purposes.
You agree to use the payment Portal for lawful purposes and in accordance with these Terms and Conditions.
You agree that You are solely responsible for the accuracy of the Payment Account information provided on the Roducate Site. Roducate shall not be responsible for any losses or damages incurred from unauthorised debit from Your account that may occur due to the submission of erroneous information.
All sales are final, and no refund policies exist for any payments made for Services or purchases on the Roducate Site or App. You are advised to double-check all information entered on the Roducate Site or App to ensure accuracy and completeness.
Roducate reserves the right to refuse or limit orders that may harm its business interests.
COMMUNICATION FEATURES
The Roducate Platform may contain features such as games, videos, podcasts, chat functions (chat, teachat, seek counsel), Community, video chats, groups, schools and other communication facilities provided to ensure that You and other Users communicate effectively when needed (“Communication Features”).
You agree to use these Communication Features only for purposes linked with the Roducate Service and not to harass, abuse, defame, stalk, threaten or violate the right to privacy of other Users.
You agree not to post or disseminate profane, defamatory, indecent or unlawful information through the Communication Features and not to collect information about others, including names, phone numbers, pictures and e-mail addresses, without their consent.
Roducate reserves the right to review and remove any material from the Communication Features at its sole discretion and to disclose any information when necessary in compliance with any applicable law or regulation.
Users must always be cautious when giving out personal information using the Communication Features. Roducate does not control or endorse the content, messages or information shared via the Communication Features and disclaims any liability flowing from such communications through the Communication Features.
Tutors, Counsellors, Learning Institutions, Professionals, and Sponsors are not authorised Roducate spokespersons; their views do not reflect the opinion of Roducate.
COMMUNITY AND EVENTS PORTAL
Roducate and every Professional, Learning Institution, and Sponsor on the Roducate Platform will have access to its community portal.
Users can engage with their community from the community portal by participating in community discussions and events organised by their Learning Institutions, Professionals and Sponsors on the Roducate Platform. Learning Institutions, Professionals and Sponsors can interact and share valuable information in their - community.
Roducate does not interfere with the interactions on the community portal. The Learning Institutions, Professionals and Sponsors moderate community interactions.
Learning Institutions, Professionals, and Sponsors can also showcase their academic calendar and events. Guardians or Learners may be given the option to select extracurricular activities.
STUDY GUIDES AND REPORTS
Learners can create free study guides on the Roducate Platform.
Only Learners who have achieved a top one (1) position on the Roducate leaderboard can create paid study guides.
Learners on the Roducate Platform can purchase paid study guides.
POINTS SYSTEM AND BADGES
A point system is designed on the Roducate Platform to reward Learner engagement. These points are accumulated when Learners acquire badges on the Roducate Platform. Each badge is tied to a point and corresponds to a particular learning outcome.
Learners earn points for each badge acquired through learning activities or using the Roducate Platform.
The points claimed and available may be used to:
fund their wallets;
grant access to free subscriptions for a specified period or
provide redeemable voucher codes on an e-commerce website.
MARKETPLACE FEATURES
The Marketplace enables Guardians to buy, sell, shop, and list products in their community, which will be displayed on the Learning Institution’s Marketplace. Learning Institutions can earn commissions on every successful transaction in the Marketplace.
Roducate Teachers and Counsellors can buy, sell, shop, and list products in the shop front, displayed on the Roducate Marketplace.
Guardians agree to provide accurate, current, and complete information (including about the items they list for sale) during the registration process.
Guardians agree not to list illegal, offensive items or violate laws or regulations.
Roducate may charge fees for listing items on the Marketplace, which will be disclosed before listing.
You agree to use the Marketplace only for the purposes linked with the Roducate Service and to respect the privacy of other Users.
COUNSELLING FEATURES
You may receive expert guidance on academic and career paths from Roducate or Learning Institutions and Professionals registered on Roducate Service through the Roducate counselling portal on the Roducate Platform.
The counselling portal is a safe space where Users can receive expert academic and career guidance and helpful advice.
Counselling services provided through the Roducate Platform are intended for general educational and information purposes and should not be construed as professional advice from a licensed counsellor, psychologist or therapist.
You acknowledge and agree that You are solely responsible for Your own mental health and well-being and the implementation of any decisions based on the counselling services received.
You agree to indemnify, defend, and hold Roducate harmless from any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to the use or misuse of counselling services provided through the Roducate Platform, any actions or decisions taken by the User based on the counselling services received and any misunderstanding or misinterpretation of the nature and scope of the counselling services provided.
DIGIPRENEUR FEATURES
The Digipreneur portal provides a platform for Learners to enhance and develop their digital and entrepreneurship skills on the Roducate Platform with available digital and entrepreneurial courses. Upon completion of the course, Users can get certified in various digital and entrepreneurial courses. Users may receive an MVP badge.
You agree to use the Digipreneur portal for lawful purposes and in accordance with these Terms and Conditions.
You are granted a limited, non-exclusive, non-transferable license to access and use the educational content for Your personal and non-commercial use.
You may be required to pay a fee to access certain content on the Digipreneur portal. Payment of all fees will be communicated to You before Your use.
If You contribute content, such as discussion posts, comments, or other materials, You retain ownership of Your contributions. By contributing content, You grant Roducate a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute Your contributions in connection with the Service.
SERVICES AND CONTENT UPLOADED ON THE RODUCATE PLATFORM
Professionals, Tutors, and counsellors who are not affiliated with a Learning Institution are independent contractors. Tutors and counsellors can offer their services independently or in collaboration with a Learning Institution.
Where tutors or counsellors render their services in affiliation with a Learning Institution, the Professional will be responsible for the content and the quality of educational materials and services provided on the Roducate Platform.
Roducate does not claim ownership of the content and materials uploaded, submitted, or inputted on the Roducate Platform by tutors, counsellors, Learning Institutions, Professionals, and Sponsors.
Roducate bears no liability for the content uploaded by tutors, counsellors, Learning Institutions, Professionals and Sponsors on the Roducate Platform.
Roducate conducts screening and verification on tutors, counsellors, Learning Institutions, Professionals and Sponsors, only to the extent of confirming their legitimacy.
INTELLECTUAL PROPERTY RIGHT
The design of the Roducate Service along with Roducate created text, scripts, graphics, interactive features, trademarks, service marks, and logos contained therein ("Marks") are owned by or licensed to Roducate, subject to copyright and other intellectual property rights under Nigerian laws, foreign laws, and international conventions. The Marks do not include communications, submissions and exchanges (“Communications”) made under the Chat, Teachat, Community, and Seek Counsel features of the Roducate Platform.
The educational content provided through the Digipreneur portal is owned by Roducate, excluding those of the Professionals, and is protected by copyright and other intellectual property laws.
The Service is provided to You AS IS for Your personal use. Roducate reserves all rights not expressly granted in and to the Service. You agree not to use, copy, or distribute any of the Roducate Service for any commercial purpose without obtaining necessary permissions.
You must not download, copy, or make screenshots of any page(s), extracts, illustrations, photographs, video or audio sequences, and any graphics (with or without any accompanying texts) or any portion of the materials available on the Roducate App or provided as part of the Services.
Our status (and that of any identified contributors) as the authors of materials published further to the Roducate Service must always be acknowledged.
If You print off, copy, make a screenshot of, or download any part of the materials of the Roducate Platform in breach of these Terms and Conditions or use any materials provided by Roducate as part of the Services for commercial purposes in violation of these Terms and Conditions, Your right to use the Roducate Service will cease immediately. At our option, You must return or destroy any copies of the materials You have made.
FORCE MAJEURE
If Roducate is prevented, hindered or delayed from performing any of its obligations under the Terms and Conditions due to any event or circumstance beyond the reasonable control of Roducate, including but not limited to acts of God, civil commotion, riots, insurrection, acts of government, fire, explosion, the downtime of any electronic communications line, system glitch, error, downtime or malfunction, unavailability of infrastructure or electricity lines, the elements, pandemics, lockdowns, epidemics, government embargoes or other similar events (“Force Majeure Event”), Roducate shall be excused from the performance of those obligations to the extent that performance is prevented, hindered or delayed by the Force Majeure Event.
Roducate shall promptly notify You via email, providing details of the nature and extent of the Force Majeure Event, and shall use all reasonable endeavours to mitigate the effect of the Force Majeure Event on the performance of its obligations under the Terms and Conditions.
Any period within which Roducate is required to deliver the Service shall be extended by a period equal to the period during which Roducate is prevented, hindered, or delayed in providing the Service as a result of the Force Majeure Event.
WARRANTY
Roducate does not guarantee, represent or warrant that Your use of the Service will be uninterrupted or error-free. You agree that from time to time, the Service might be unavailable for an indefinite period or cancelled at any time without notice to You. The Service is provided AS IS, and Roducate disclaims all warranties, express or implied.
You agree that Your use of the Services shall be to the fullest extent permitted by law; Roducate, its parent company, subsidiaries, affiliates, officers, directors, employees, and agents disclaim all warranties, express or implied, in connection with the Service and Your use thereof.
Roducate makes no warranties or representations about the accuracy or completeness of the Service content and assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content, (ii) personal injury or property damage of any nature whatsoever, resulting from Your access to and use of the Service, (iii) any unauthorised access to or use of Our servers and/or any and all personal information and/or financial information stored therein, (iv) any interruption or cessation of transmission to or from Our Service, (iv) any bugs, viruses, trojan horses, or the like which may be transmitted to or through our Service through the actions of any third party, and/or (v) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the Roducate Platform.
Roducate does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the Roducate Platform, any hyperlinked website, or featured anywhere herein or other advertising. Roducate will not be a party to or in any way be responsible for monitoring any transaction between You and third-party providers of products or services. As with purchasing a product or service through any medium or in any environment, You should use Your best judgment and exercise caution where appropriate.
Roducate does not represent or guarantee that the Service will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion, and Roducate disclaims any liability relating thereto.
LIMITATION OF LIABILITY
In no event shall Roducate, its parent company, subsidiaries, affiliates, officers, directors, employees, or agents, be liable to You for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any (i) errors, mistakes, or inaccuracies of content, (ii) personal injury or property damage, of any nature whatsoever, resulting from Your access to and use of the Service, (iii) any unauthorised access to or use of Our secure servers and/or any and all personal information and/or financial information stored therein, (iv) any interruption or cessation of transmission to or from Our servers, (iv) any bugs, viruses, trojan horses, or the like, which may be transmitted to or through Our Service by any third party, (v) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of Your use of any content posted, emailed, transmitted, or otherwise made available via the Service whether based on warranty, contract, tort, or any other legal theory, and whether or not You or Roducate, is advised of the possibility of such damages, and/or (vi) the disclosure of information pursuant to these Terms and Conditions or our Privacy Policy. The foregoing limitation of liability shall apply to the fullest extent permitted by law.
Roducate shall use reasonable efforts to protect information submitted by You in connection with the Service. Still, You agree that Your submission of such information is at Your sole risk, and Roducate hereby disclaims any and all liability to You for any loss or liability relating to such information in any way.
Some products can be downloaded only once; after being downloaded, they cannot be replaced if lost for any reason. You shall be responsible for backing up Your system, including all Services.
You expressly acknowledge that Roducate shall not be liable for User communications or any third party's defamatory, offensive, or illegal conduct and that the risk of harm or damage from the foregoing rests entirely with You.
The Service is controlled and offered by Roducate from its facilities in the Federal Republic of Nigeria. Those who access or use the Roducate Service from other jurisdictions do so voluntarily and are responsible for compliance with applicable local law.
Roducate complies with all applicable international laws, standards, best practices, regulations and policies, including but not limited to data protection, privacy regulations, and anti-corruption laws.
INDEMNITY
You agree to defend, indemnify and hold harmless Roducate, its parent corporation, subsidiaries, affiliates, officers, directors, employees and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:
Your use of and access to the Roducate Platform;
Your violation of any term of these Terms and Conditions;
Your violation of any third party right, including without limitation any copyright, property, or privacy right, or
any claim that one of Your Communications caused damage to a third party.
This means that You cannot sue or recover any damages from Roducate, its parent corporation, subsidiaries, affiliates, directors, officers, employees, affiliates, agents, contractors, and licensors as a result of its decision to remove or refuse to process any information or content, to warn You, to suspend or terminate Your access to the Service, or to take any other action during the investigation of a suspected violation or as a result of Roducate's conclusion that a breach of these Terms and Conditions has occurred.
This waiver and indemnity provision applies to all violations described in or contemplated by these Terms and Conditions.
This clause 21 (Indemnity) will survive these Terms and Conditions and Your use of the Roducate Service.
ASSIGNMENT
These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by You but may be assigned by Roducate without restriction.
SUSPENSION AND TERMINATION
Roducate may, at its sole discretion, suspend or restrict Your access to the Roducate Platform or terminate the Service where:
Your subscription for the Service expires;
Roducate is required or requested to comply with an order or instruction of or a recommendation from the government, court, regulator or other competent authority;
Roducate reasonably suspects or believes that You are in breach of these Terms and Conditions;
The restriction is necessary as a consequence of technical problems or for reasons of safety; to facilitate update or upgrade the content or functionality of the Service from time to time; or where Your activity in the Roducate Site becomes inactive or dormant;
Roducate decides to suspend or cease the provision of the Service for commercial reasons or for any other reason as it may determine in its absolute discretion; or
You breach any of the provisions specified in these Terms and Conditions.
At our reasonable discretion, we will determine whether there has been a breach of these Terms and Conditions through Your use of the Roducate Platform. When these Terms and Conditions have been violated, we may act as appropriate.
Failure to comply with these Terms and Conditions constitutes a material breach of the Terms and Conditions upon which You are permitted to use the Service. It may result in our taking any or all action We deem appropriate, including, but not limited to:
immediate, temporary or permanent withdrawal of Your right to use the Service;
issuance of a warning to You;
legal proceedings being taken against You for the reimbursement of any reasonable costs that We incur (including, but not limited to, reasonable administrative and legal costs) as a direct result of You failing to abide by the Terms and Conditions;
pursuit of further legal action against You; or
disclosure of such information to law enforcement authorities as necessary.
You can deactivate Your account at any time by following the instructions on the Roducate Site. Refer to Our Privacy Policy to understand what happens to Your information when You terminate Your account.
GOVERNING LAW AND DISPUTE RESOLUTION
The Roducate Service shall be deemed a passive server that does not give rise to personal jurisdiction over Roducate, either specific or general, in jurisdictions other than the Federal Republic of Nigeria.
These Terms and Conditions shall be governed by the laws of the Federal Republic of Nigeria.
Any claim or dispute between You and Roducate arising from the Roducate Service shall be decided exclusively by a court of competent jurisdiction in Nigeria.
Subject to applicable law, You and Roducate agree that any cause of action arising out of or related to the Roducate Service must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred; and You hereby warrant to waive Your right to any class action against Roducate.
GENERAL CONDITIONS
These Terms and Conditions of Service, together with the Privacy Policy at https://www.roducate.com and any other legal notices published by Roducate, including, but not limited to, an end user license agreement, shall constitute the entire agreement between You and Roducate concerning the Roducate Service.
If any provision of these Terms and Conditions is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect.
No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Roducate's failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.
Roducate reserves the right to amend or modify these Terms and Conditions at any time, and it is Your responsibility to review these Terms and Conditions for any changes. If You do not agree to any amendment of the Terms and Conditions, Your only recourse is to discontinue the use of the Roducate Platform and the Service. Following any amendment of these Terms and Conditions, your continued use of the Roducate Platform and Service will signify Your assent to and acceptance of its revised terms.
