This is an agreement between Robert & John Limited (‘R&J’), a limited liability company incorporated under the laws of the Federal Republic of Nigeria, the owner and operator of www.roducate.com (the ‘Roducate Site’, ‘Roducate software’, ‘Roducate App’ collectively, including all content provided by R&J through Roducate Site and Roducate App, the ‘Roducate Service’, or the ‘Service’), and you (‘you’ or ‘You’), a user of the Service. R&J offers you this website, information, tools and services available herein, conditioned upon your acceptance of these terms and conditions. For the avoidance of doubt, the Roducate Service or the Service also includes any updates to or additional features, services or tools included on the Roducate Site, Roducate App or contents published by R&J on the Roducate Site and Roducate App. BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE TO THESE TERMS OF SERVICE, AND RODUCATE’S PRIVACY POLICY, WHICH CAN BE FOUND ARE INCORPORATED HEREIN BY REFERENCE. If you choose not to agree with any of these terms, you may not use the Service. The legal agreements set out below govern your use of the Service. To agree to these terms, click “I agree”. If you do not agree to these terms, do not click “I agree”, and do not use the Service.

Our services are available for ages 5 and older, but access can only be initiated by persons aged 18 and above. If you are below 18, you must obtain the permission of your guardian or parent before accessing the website. By signing up on the website, you warrant that you have obtained such permission.

These Terms and Conditions apply to all users of the Roducate Service. Information provided by You through the Roducate Service may contain links to third-party websites that are not owned or controlled by R&J. R&J has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites. In addition, R&J will not and cannot censor or edit the content of any third-party site. By using the Service, you expressly acknowledge and agree that R&J shall not be responsible for any damages, claims or other liability arising from or related to your use of any third-party website. Notwithstanding the foregoing, any and all personal information you provide will be stored and processed in compliance with our Privacy Policy. By using the Roducate Site, you consent to such processing, and you warrant that all data provided by you is accurate

Subject to your compliance with these Terms and Conditions, Roducate hereby grants you permission to use the Service, provided that: (i) your use of the Service as permitted is solely for your personal use, and you are not permitted to resell or charge others for use of or access to the Service, or in any other manner inconsistent with these Terms and Conditions; (ii) you will not duplicate, transfer, give access to, copy or distribute any part of the Service in any medium without R&J’s prior written authorization; (iii) you will not attempt to reverse engineer any part of the Service, (iv) you will not alter or modify any part of the Service, except in accordance with the permissions granted as part of the service to upload and customize content on the Roducate Site and/or Roducate App; (iv) you will not knowingly introduce viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful; (vi) you will not (by yourself and/or in concert with others) attempt to gain unauthorized access to the Roducate Site, the server on which the Roducate Site is stored or any server, computer or database connected to the Roducate Site; (vii) you will not (by yourself and/or in concert with others) attack the Roducate Site via a denial-of-service attack or a distributed denial-of service attack and (vii) you will otherwise comply with the terms and conditions of these Terms and Conditions and Privacy Policy. You agree that you will pay for the Service provided by R&J, and that R&J may charge your Debit Card, Credit Card or any form of internet account for any products/services purchased and for any additional amounts (including any taxes and late fees, as applicable) that may be accrued by or in connection with your account. You are responsible for the timely payment of all fees and for providing R&J with valid Credit Card or Debit Card account details for payment of all fees. All fees will be billed to the Credit Card or Debit Card account you designate during the registration process. If you want to designate a different Credit Card or if there is a change in your Credit Card or Debit Card account status, you must change your information online in the account information section of the application or software. Do note that this may temporarily disrupt your access to the Service while R&J verifies your new payment information. R&J reserves the right to refuse or limit any order for Roducate Services placed by you where such orders are, by its sole judgment, capable of harming its business interests. In accordance with the nature of the services provided by Roducate, users may be assigned teachers or counsellors from time to time. Such assignment is made solely at the discretion of R&J and may be changed at any time without the prior consent of the user. Your use of the Service includes the ability to enter into agreements and/or to make transactions electronically. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by and to pay for such agreements and transactions. Your agreement and intent to be bound by electronic submissions apply to all records relating to all transactions you enter into on the Roducate Site, including notices of cancellation, policies, contracts, and applications. Use of the Roducate Service requires compatible devices, internet access, and certain software or operating systems (fees may apply). The Service may also require periodic updates; and may be affected by the performance of these factors. High-speed Internet access is strongly recommended for regular use and is required for video. You are responsible for making all arrangements necessary for you to have access to the Roducate Site. You are also responsible for ensuring that all persons who access the Roducate Site through your internet connection are aware of these Terms and Conditions and that they comply with them. From time to time, we may restrict access to some parts of the Roducate Service, including some parts of the Site, or the entire Site, to users who have registered with us. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time if, in our opinion, you have failed to comply with any of the provisions of these Terms and Conditions. You are responsible for ensuring confidentiality and restricting access to your computer and account, including your passwords and username. You accept responsibility for all activity that occurs under your account and will take all necessary steps to ensure use in compliance with the Terms of Use.

You may not use the Service for illegal or unauthorised purposes nor violate any law of the Federal Republic of Nigeria. You may not use the Roducate Site in any way that could damage, disable, or impair the website or interfere with the use and enjoyment of the website by other users. You may not obtain by any means information or details of other users not already made available on the website.

The Roducate Site or other Services may contain features such as Games, Videos, Podcasts, Chat Functions (RoChat, Teachat, Seek Counsel), Video chats, groups, schools, communities and/or other communication and messaging facilities provided to ensure that you and other users communicate effectively when needed (‘Communication Features’). You hereby agree to use these Communication Features only for purposes linked with the Roducate Services. You further agree that when using the Communication Features, you will not harass, abuse, defame, stalk, threaten or violate the right to privacy of other users. You agree to not post or disseminate profane, defamatory, indecent or unlawful information through the Communication Features; not advertise any goods or services not permitted by the Roducate Service, collect information about others, including names, phone numbers, pictures and e-mail addresses without their prior consent. R&J reserves the right to review all communications through the Communication Features and to remove any material at its sole discretion. R&J also reserves the right to disclose any information when necessary to satisfy any applicable law or regulation. Always be cautious when giving out any personal information about yourself, your children or your students while using the Communication Features. R&J does not control or endorse the content, messages or information shared via the Communication Features and disclaims any liability flowing from communications through the Communications Features. Hosts and Teachers are not authorised R&J spokespersons, and

R&J does not claim ownership of the contents and materials you upload, submit or input on the Roducate Services (the ‘Contents’). However, by uploading such Contents, you are granting R&J, its affiliates and necessary sublicensees permission to use the Contents in connection with the operation of the Roducate Services, including but not limited to the rights to copy, distribute, edit, transmit, publicly display, publicly perform, reproduce, translate and reformat your Content and to publish your name in connection with your Content. No compensation shall be paid with respect to the use of your Content as provided in these terms and conditions, and R&J is under no obligation to post or use any of your Content and may remove any Content at any time at its sole discretion. By posting, uploading or submitting your Content on any of the Roducate Services, you warrant that you own or have acquired the permission or right to the Content, including, but not limited to, the right to upload or submit such content.

The design of the Roducate Service, along with R&J-created text, scripts, graphics, interactive features and the like and the trademarks, service marks and logos contained therein (‘Marks’), are owned by or licensed to R&J, subject to copyright and other intellectual property rights under Nigerian and foreign laws and international conventions. This, however, does not include communications, submissions and exchanges (‘Communications’) made under the RoChat, Teachat, and Seek Counsel features of the Roducate Service. The Service is provided to you AS IS for your information and personal use only. R&J reserves all rights not expressly granted in and to the Service. You agree to not use, copy, or distribute any of the Roducate Service, including any use, copying, or distribution of Communications of third parties obtained through the Service for any commercial purposes. You must not download, copy or make screenshots of any page(s), extracts, illustrations, photographs, video or audio sequences and any graphics (with or without any accompanying texts) or any portion of the materials available on the Roducate Site or provided as part of the Services. Our status (and that of any identified contributors) as the authors of materials published further to the Roducate Service must always be acknowledged. You must not use any part of the materials of the Roducate Services for commercial purposes without obtaining the requisite permissions and licences to do so from us or our licensors. If you print off, copy, make a screenshot of or download any part of the materials for the Roducate Service in breach of these Conditions or use any materials provided by Roducate as part of the Services for commercial purposes in breach of these Conditions, your right to use the Roducate Service will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
Warranty
R&J DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE RODUCATE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT FROM TIME TO TIME, R&J MAY REMOVE THE RODUCATE SERVICE FOR INDEFINITE PERIODS OR CANCEL THE RODUCATE SERVICE AT ANY TIME, WITHOUT NOTICE TO YOU. YOU AGREE THAT YOUR USE OF THE RODUCATE SERVICE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, RODUCATE, ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF. RODUCATE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SERVICE’S CONTENT AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE THROUGH THE ACTIONS OF ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE RODUCATE SERVICE. RODUCATE DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE RODUCATE SERVICE OR ANY HYPERLINKED WEBSITE OR FEATURED ANYWHERE HEREIN OR OTHER ADVERTISING, AND RODUCATE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

IN NO EVENT SHALL RODUCATE, ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVERS, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY, (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT YOU OR R&J, IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND/OR (VI) THE DISCLOSURE OF INFORMATION PURSUANT TO THESE TERMS AND CONDITIONS OR PRIVACY POLICY. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. R&J SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE RODUCATE SERVICE, BUT YOU AGREE THAT YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND R&J HEREBY DISCLAIMS ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY. R&J DOES NOT REPRESENT OR GUARANTEE THAT THE RODUCATE SERVICE WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND R&J DISCLAIMS ANY LIABILITY RELATING THERETO. SOME PRODUCTS CAN BE DOWNLOADED ONLY ONCE; AFTER DOWNLOADED, THEY CANNOT BE REPLACED IF LOST FOR ANY REASON. YOU SHALL BE RESPONSIBLE FOR BACKING UP YOUR OWN SYSTEM, INCLUDING ALL RODUCATE PRODUCTS. YOU SPECIFICALLY ACKNOWLEDGE THAT RODUCATE SHALL NOT BE LIABLE FOR USER COMMUNICATIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. The Service is controlled and offered by R&J from its facilities in the Federal Republic of Nigeria. R&J makes no representations that the Roducate Service is appropriate or available for use in other locations. Those who access or use the Roducate Service from other jurisdictions do so of their own volition and are responsible for compliance with local law.

You agree to defend, indemnify and hold harmless R&J, its parent corporation, subsidiaries, affiliates, officers, directors, employees and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Roducate Service; (ii) your violation of any term of these Terms and Conditions; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your Communications caused damage to a third party. This means that you cannot sue or recover any damages from R&J, its parent corporation, subsidiaries, affiliates directors, officers, employees, affiliates, agents, contractors, and licensors as a result of its decision to remove or refuse to process any information or content, to warn you, to suspend or terminate your access to the Roducate Service, or to take any other action during the investigation of a suspected violation or as a result of R&J’s conclusion that a violation of this agreement has occurred. This waiver and indemnity provision applies to all violations described in or contemplated by this agreement. This defence and indemnification obligation will survive these Terms and Conditions and your use of the Roducate Service.

These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by R&J without restriction.

In our reasonable discretion, we will determine whether there has been a breach of these Terms and Conditions through your use of the Roducate Service. When a breach of these Terms and Conditions has occurred, we may take such action as we deem appropriate. Failure to comply with these Terms and Conditions constitutes a material breach and may result in our taking any or all action we deem appropriate, including, but not limited to:-

You agree that: (i) the Roducate Service shall be deemed solely based in the Federal Republic of Nigeria; (ii) the Roducate Service shall be deemed a passive server that does not give rise to personal jurisdiction over R&J and Roducate, either specific or general, in jurisdictions other than the Federal Republic of Nigeria; and (iii) that you agree to subject to the jurisdiction of the Federal Republic of Nigeria in the event of any legal dispute. These Terms and Conditions shall be governed by the internal substantive laws of the Federal Republic of Nigeria, without respect to its conflict of laws principles. Any claim or dispute between you and R&J arising in whole or in part from the Roducate Service shall be decided exclusively by a court of competent jurisdiction located in Lagos, Nigeria. These Terms and Conditions of Service, together with the Privacy Policy at http://www.roducate.com and any other legal notices published by R&J, including, but not limited to, an end user license agreement, shall constitute the entire agreement between you and R&J concerning the Roducate Service. If any provision of these Terms and Conditions is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and R&J’s failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision. R&J reserves the right to amend or modify these Terms and Conditions at any time, and it is your responsibility to review these Terms and Conditions for any changes. If you do not agree to the Terms, your only recourse is to discontinue using the Roducate Service. Your continued use of the Roducate Service following any amendment of these Terms and Conditions will signify your assent to and acceptance of its revised terms. SUBJECT TO APPLICABLE LAW, YOU AND R&J AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE RODUCATE SERVICE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED

This Terms of Use is made in pursuance of the laws of the Federal Republic of Nigeria without regard to its conflict of laws provisions. You and us expressly consent and submit to the jurisdiction of the courts of the Federal Republic of Nigeria for the adjudication of any claims, action or dispute arising out of this Terms of Use.
